Terms and Conditions for VJM Writing Services

1. Introduction

These Terms and Conditions (“Terms”) govern the provision of services by VJM Writing Services, a sole proprietorship based in the United Kingdom (“we,” “us,” or “our”), to any individual or entity (“Client” or “you”) who engages our services.

By commissioning, requesting, or otherwise engaging with our services — including through email, our website, direct proposals, or verbal agreement — you acknowledge that you have read, understood, and agreed to be bound by these Terms in full.

If you do not agree with these Terms, you must not use or request our services.

2. Services Provided

VJM Writing Services specialises in compliance-conscious copywriting and content strategy for the nutrition, supplement, and wellness industries. Our services are designed to support alignment with platform-specific advertising standards and applicable content regulations (e.g., Google Merchant Center, Meta, Amazon).

Our core services include:

• Copywriting and messaging development for product pages, landing pages, emails, and digital ads

• Content audits and reviews with a focus on platform compliance (e.g. flagging non-compliant claims)

• Strategic consulting on brand voice, positioning, and compliant messaging

• Editing and rewriting of existing content for clarity and compliance alignment

• Project-based or ongoing content development and campaign support

We do not provide regulatory consulting, legal advice, or compliance certification services. Any guidance or feedback offered is based on publicly available advertising guidelines and general best practices.

We do not write or support claims that imply treatment, cure, or prevention of disease, or any other content that may violate advertising policies or health claim regulations.

We reserve the right to adjust, expand, or limit the scope of services by mutual written agreement with the Client. Services not explicitly included above or in a written proposal will be subject to additional terms and separate fees.

VJM Writing Services does not provide free or speculative work as part of proposals or discovery processes. All work, including exploratory, trial, or sample content, is billable unless explicitly agreed otherwise in writing.

 3. Payment Terms

·        All fees are quoted in GBP (£) and are exclusive of any applicable taxes or transaction fees.

·        A 50% non-refundable deposit is required to confirm the project and commence work.

·        The remaining 50% is due upon completion of the content and must be paid prior to delivery of final files.

·        All invoices are issued electronically and are payable within 7 calendar days of the invoice date, unless otherwise agreed in writing.

·        Payments are processed securely via Stripe. The Client is responsible for any applicable third-party processing or currency conversion fees.

·        Late payments exceeding 14 days past the due date will incur interest at a rate of 2% per month, or the maximum permitted by law, whichever is lower.

·        Until full payment is received, VJM Writing Services retains all rights, title, and interest in the content. The Client may not use, publish, distribute, or derive commercial benefit from the content in any form.

·        In the event of cancellation by the Client after work has begun, the initial deposit is non-refundable. If more than 50% of the project has been completed at the time of cancellation, an additional cancellation fee may be invoiced at a pro-rata rate based on the work completed.

·        Alternative payment schedules may be agreed in writing on a case-by-case basis. In such cases, content will be delivered in phases according to the payment schedule.

 4. Revisions and Edits

·        Each project includes one round of revisions, provided that the revision request is submitted within 7 calendar days of the initial content delivery.

·        Revisions are defined as minor adjustments to tone, phrasing, structure, or formatting based on the original project brief.

·        Requests that significantly alter the original brief, introduce new material, or require substantial rewrites will be treated as new work and quoted separately.

·        Additional revision rounds beyond the first will be charged at a rate of £60 per hour, billed in 30-minute increments.

·        Revisions will be delivered within 7 days of receiving the Client’s written feedback, unless otherwise agreed.

·        Revision rounds do not accumulate — if the Client does not request revisions within the stated timeframe, the round is forfeited.

·        Minor exceptions to these terms may be made at the discretion of VJM Writing Services, on a case-by-case basis.

5. Ownership and Transfer of Rights

·        Ownership of all final deliverables is transferred to the Client only upon receipt of full payment. Until full payment is received, all rights, title, and interest in the content remain the sole property of VJM Writing Services.

·        Ownership applies only to the final, approved version of the content. All drafts, unused concepts, and preliminary materials remain the intellectual property of VJM Writing Services unless otherwise agreed in writing.

·        Once ownership is transferred, the Client may use, modify, and distribute the content for any lawful purpose, subject to any agreed limitations or licensing terms.

·        VJM Writing Services may request the use of final deliverables for promotional purposes, including portfolio samples and marketing materials. Such use will only occur with the Client’s prior written consent, which may be granted or withheld at the Client’s sole discretion.

·        Unless otherwise agreed in writing, VJM Writing Services waives the right to be credited as the author of the content and asserts no further moral rights under applicable copyright law.

Any unpaid or sample work (including free trials, mockups, or test content), whether requested or voluntarily created, remains the sole property of VJM Writing Services and may be used for promotional or portfolio purposes without further permission, provided that no confidential or proprietary client information is disclosed.

6. Confidentiality

“Confidential Information” refers to any non-public information disclosed by the Client to VJM Writing Services, whether written, oral, or electronic, including but not limited to business plans, product details, marketing strategies, technical information, proprietary data, content drafts, or any other materials marked or understood to be confidential.

VJM Writing Services agrees to maintain strict confidentiality with respect to all Confidential Information provided by the Client and will not disclose such information to any third party without the Client’s prior written consent, except where required by law or to enforce the terms of this agreement.

Confidential Information does not include information that:

·        Was publicly available at the time of disclosure or becomes publicly available through no fault of VJM Writing Services;

·        Is lawfully received from a third party without restriction and without breach of any duty of confidentiality;

·        Is independently developed by VJM Writing Services without use of or reference to the Client’s Confidential Information.

Confidentiality obligations under this agreement will remain in effect for a period of two (2) years following the completion or termination of the project, unless a longer period is agreed in writing.

7. Disclaimer of Warranties and Liability

Content Accuracy and Legal Use

• VJM Writing Services provides content for marketing purposes only and makes no warranties or guarantees regarding the accuracy, legality, or suitability of the content for any specific regulatory environment, jurisdiction, or commercial use.

• The Client is solely responsible for reviewing and approving all content before publication, including ensuring factual accuracy, appropriate evidence for any product claims, and full compliance with applicable advertising laws, platform policies, and industry regulations.

• VJM Writing Services does not verify or substantiate health claims, ingredient efficacy, or product benefits. It is the Client’s responsibility to ensure that all claims are truthful, not misleading, and compliant with relevant regulatory standards.

Limitation of Liability

• VJM Writing Services shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use, misuse, or interpretation of the content provided.

• Our total liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

• The Client agrees that this limitation of liability is fair and reasonable given the nature and scope of the services provided.

Force Majeure

• VJM Writing Services shall not be held liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, government actions, strikes, civil unrest, cyberattacks, internet outages, or delays by subcontractors due to such events.

 8. Indemnification

Client Indemnification

The Client agrees to indemnify, defend, and hold harmless VJM Writing Services, including its owner, employees, subcontractors, and affiliates, from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

• The use, publication, or distribution of the content by the Client or any third party;

• Any claims of defamation, infringement, misrepresentation, or breach of confidentiality resulting from the content;

• Any modifications or adaptations made to the content by the Client or a third party;

• Failure of the Client to ensure compliance with applicable advertising laws, platform guidelines (e.g., Google, Meta, Amazon), or industry-specific regulations;

• Any content or materials provided by the Client to VJM Writing Services that infringe upon the rights of a third party or violate any law.

This indemnification obligation shall survive the termination or completion of this agreement.

Third-Party Materials

VJM Writing Services is not responsible for any legal or regulatory claims arising from third-party content, data, or materials provided by the Client for use in the project. The Client warrants that all such materials are either original, properly licensed, or used with appropriate permissions.

 9. Termination and Cancellation

Either party may terminate this agreement at any time by providing written notice via email. Termination becomes effective upon confirmed receipt by the other party.

If the Client terminates the agreement after the project has commenced, the initial 50% deposit is non-refundable and serves as compensation for time reserved and work initiated.

If VJM Writing Services terminates the agreement for reasons unrelated to the Client’s conduct (e.g. illness, personal emergency, or scheduling conflicts), a pro-rata refund of the deposit may be issued based on the percentage of work completed at the time of termination.

VJM Writing Services reserves the right to terminate the agreement without refund if the Client:

• Fails to provide necessary materials or feedback within a reasonable timeframe;

• Requests work that exceeds the agreed scope without renegotiation;

• Behaves in a manner that is unprofessional, abusive, or otherwise incompatible with a productive working relationship;

• Fails to make payments in accordance with the terms outlined in Section 3.

In the event that the project is abandoned or placed on indefinite hold by the Client after substantial work has been completed, VJM Writing Services may, at its discretion, invoice a reasonable kill fee based on the value of work completed and time invested.

Upon termination, the Client will receive all completed and paid-for deliverables up to the effective date of termination. Any content not paid for in full remains the property of VJM Writing Services and may not be used, published, or distributed in any form.

 10. Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or in connection with this agreement, including its validity, breach, termination, or interpretation, shall be governed by and construed in accordance with the laws of England and Wales.

The Client agrees that any such disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom, regardless of the Client’s location, business operations, or applicable jurisdiction.

In the event of a dispute, both parties agree to first attempt to resolve the matter through informal, good-faith negotiation.

If negotiation does not result in resolution within 30 calendar days, the parties agree to submit the dispute to mediation, to be conducted under the rules of the UK Mediation Service or another mutually agreed provider.

If mediation fails to produce a binding resolution, the dispute shall be submitted to final and binding arbitration in London, United Kingdom. The language of arbitration shall be English, and the decision of the arbitrator shall be final and enforceable in any competent court.

This dispute resolution process shall survive the termination or completion of this agreement.

11. Regulatory Compliance Disclaimer

VJM Writing Services provides copywriting and content strategy services intended to support alignment with applicable advertising and platform policies, including those of Google Merchant Center, Meta (Facebook/Instagram), Amazon, and other digital platforms. The information and content we deliver are for general marketing purposes only and should not be considered legal or regulatory advice.

We do not provide legal services or regulatory consultancy and do not offer compliance verification related to:

• Product formulation or ingredient safety

• Health claim substantiation or scientific evidence

• Labelling, packaging, or regulatory disclosures

• Registration or certification with national or international bodies (e.g. MHRA, EFSA, FDA)

It is the Client’s sole responsibility to ensure that all final content complies with applicable advertising laws, platform policies, and product-specific regulations. All deliverables should be reviewed by the Client’s legal, compliance, or regulatory team prior to publication or distribution.

VJM Writing Services disclaims all liability for any non-compliance, enforcement actions, account suspensions, or legal issues that arise from the use of the content outside the scope of our services.

12. Platform and Policy Changes

VJM Writing Services endeavours to stay current with major advertising and content policies on third-party platforms, including but not limited to Google Merchant Center, Meta (Facebook/Instagram), Amazon, and other digital advertising networks.

However, these platforms frequently update their policies, enforcement protocols, and algorithms — sometimes without public notice. As such:

• We cannot guarantee that content deemed compliant at the time of delivery will remain compliant in the future.

• We are not responsible for any retroactive enforcement, ad disapprovals, account suspensions, or removals resulting from policy changes or interpretation shifts made by these platforms after the content has been delivered.

• The Client is solely responsible for monitoring platform policies on an ongoing basis and ensuring that published content remains in compliance.

All content provided by VJM Writing Services should be considered accurate and compliant only as of the date of delivery.

13. Client Responsibility

The Client acknowledges and agrees that VJM Writing Services is not responsible for the legal or regulatory compliance of any published materials. The Client assumes full responsibility for:

• Reviewing and approving the final deliverables prior to use or publication

• Ensuring that all product claims, benefit statements, and marketing language are truthful, accurate, and supported by appropriate evidence

• Verifying that the content complies with all applicable advertising laws, platform guidelines, consumer protection regulations, and industry-specific standards (including but not limited to health claim regulations)

• Consulting with qualified legal, regulatory, or compliance professionals before publishing any content where necessary

VJM Writing Services provides marketing copy and messaging for informational and creative purposes only. Our deliverables are not intended to serve as legal or regulatory advice, and should not be relied upon as such.

We accept no responsibility for any legal claims, enforcement actions, penalties, or account suspensions that result from the Client’s use of the content.

14. Use of AI and Automation Tools

VJM Writing Services may use AI-assisted tools, software, or automation platforms to support content ideation, outlining, editing, or research. These tools are used solely to enhance workflow efficiency and improve the quality of service.

All final deliverables are developed, reviewed, and edited by a human copywriter to ensure they meet the required standards for clarity, originality, tone, and relevance.

At no point will AI tools be used to process or store confidential Client information unless explicitly agreed in writing. All content provided to the Client will be considered original and created in accordance with the scope and requirements outlined in the project brief.

15. Testimonials and Feedback

With the Client’s prior consent, VJM Writing Services may use anonymised or attributed feedback, testimonials, or project-related comments for promotional purposes. This may include publication on our website, marketing materials, proposals, or social media channels.

Consent may be provided in writing, verbally, or implicitly (e.g. when a testimonial is voluntarily submitted or published publicly). Clients may withdraw their consent at any time by submitting a written request.

No confidential, proprietary, or sensitive project information will be disclosed without the Client’s explicit written permission.

16. Subcontracting

VJM Writing Services may engage qualified subcontractors, freelancers, or collaborators to assist in the execution of a project when necessary and appropriate. All subcontractors are bound by strict confidentiality agreements and are required to comply with the terms outlined in this agreement.

Subcontracting will not affect the quality, confidentiality, or timely delivery of the work. VJM Writing Services remains the Client’s primary point of contact and assumes full responsibility for the final deliverables.

17. Amendments and Updates

VJM Writing Services reserves the right to amend or update these Terms at any time, in whole or in part.

“Significant changes” are defined as those that materially alter the Client’s rights or obligations under this agreement, such as changes to payment terms, cancellation policies, or liability clauses. These changes will only take effect once the Client has been notified in writing and has acknowledged and accepted them in writing.

“Minor changes” include editorial updates, clarifications, or modifications that do not materially impact the Client’s rights or obligations. These changes will take effect immediately upon publication on our website.

Clients will be notified of significant changes via email or other reasonable methods. For ongoing service relationships, continued engagement with our services following notification will be considered acceptance of the updated Terms.

All amendments apply prospectively from the effective date and will not apply retroactively to work already completed under previously agreed Terms.
