Terms and Conditions for VJM Writing Services

1. Introduction

VJM Writing Services, located in the United Kingdom, (“we,” “us,” or “our”) provides copywriting, consulting, editing, and content strategy services. By engaging our services, you (“Client”) agree to be bound by these Terms and Conditions (“Terms”).

2. Services Provided

We offer the following services:

• Copywriting for nutrition and wellness industries

• Consulting on content strategy and messaging

• Editing and content review

• Project-based or ongoing content development

We reserve the right to adjust or expand the scope of services as agreed in writing with the Client. Any additional services not explicitly stated in this agreement will be subject to separate terms and fees.

3. Payment Terms

• All payments shall be made in GBP (£).

• A 50% non-refundable deposit is required to commence work.

• The remaining 50% is due prior to the delivery of the final project deliverables.

• Payments are processed via Stripe. Clients are responsible for any applicable transaction fees.

• Late payments beyond 14 days of the invoice due date will incur interest at the rate of 2% per month or the maximum allowed by law, whichever is lower.

• Until full payment is received, VJM Writing Services retains all rights, title, and interest in the content. The Client may not use, publish, or distribute the content until all outstanding payments have been settled.

4. Revisions and Edits

• One round of revisions is included for each project, provided the revision request is made within 7 days of the initial delivery.

• Additional revisions beyond the initial round will incur a fee of £60 per hour.

• Revisions will be delivered within 7 days after receiving the Client’s revision request.

5. Ownership and Transfer of Rights

• Transfer of Ownership:

  • Upon receipt of full payment, all rights, title, and interest in the final deliverables are transferred to the Client. The Client assumes full ownership of the content and is free to use, modify, and distribute it as desired, subject to any agreed portfolio rights retained by VJM Writing Services.

• Portfolio Use:

  • VJM Writing Services may use the content for promotional purposes, including in portfolios and marketing materials, only with the Client’s prior written consent.

• Moral Rights:

  • Unless otherwise agreed in writing, VJM Writing Services waives the right to be credited as the author of the content.

6. Confidentiality

• Confidential Information includes, but is not limited to, project briefs, marketing strategies, and business plans.

• VJM Writing Services will maintain strict confidentiality regarding all project information and materials provided by the Client.

• Confidential Information will not be disclosed to third parties without the Client’s prior written consent, except as required by law or to enforce the terms of this agreement.

• Confidential Information does not include information that:

  • Was publicly known at the time of disclosure;

  • Becomes publicly known through no fault of VJM Writing Services;

  • Is received from a third party without breach of confidentiality obligations.

7. Disclaimer of Warranties and Liability

• Content Accuracy and Legality:

  • VJM Writing Services makes no warranties or representations regarding the completeness, legality, or suitability of the content for any specific purpose.

  • The Client is responsible for reviewing the content for factual accuracy, compliance with applicable laws, and any claims or statements made within the content.

• Limitation of Liability:

  • VJM Writing Services shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use, misuse, or interpretation of the content provided.

  • Our total liability under this agreement shall not exceed the amount paid by the Client for the specific project giving rise to the claim.

• Force Majeure:

  • VJM Writing Services shall not be liable for any delay or failure in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, or government restrictions.

8. Indemnification

• Client Indemnification:

  • The Client agrees to indemnify, defend, and hold harmless VJM Writing Services, its employees, and subcontractors against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:

    • The use or misuse of the content by the Client or any third party.

    • Claims of infringement, defamation, or breach of confidentiality related to the use of the content.

    • Any modifications made to the content by the Client or a third party.

• Third-Party Content:

  • VJM Writing Services shall not be responsible for any third-party claims arising from content provided by the Client for use in the deliverables.

9. Termination and Cancellation

• Either party may terminate the agreement in writing.

• If the Client terminates the agreement after the project has commenced, the 50% deposit is non-refundable.

• If VJM Writing Services terminates the agreement for reasons unrelated to the Client’s conduct, a pro-rata refund of the deposit may be issued based on the percentage of work completed.

10. Dispute Resolution

• These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of England and Wales.

• Disputes shall first be attempted to be resolved through good-faith negotiation.

• If negotiation fails, disputes shall be referred to mediation under the rules of the UK Mediation Service. If mediation fails, the dispute shall be resolved through binding arbitration in London, UK.

11. Amendments and Updates

• VJM Writing Services reserves the right to amend these Terms at any time.

• Clients will be notified of significant changes via email or through our website, with the updated Terms effective as of the date specified.

• Significant changes to these Terms will require written acknowledgment and acceptance by the Client to remain in effect. Minor amendments will take effect immediately upon publication on our website.
